
HCSC Insurance Services Company ("HISC") was originally incorporated in the state of Oklahoma as Sooner Life Insurance Company in 1958. The company offices were then in Oklahoma. USLIFE Corporation acquired control of Sooner Life in 1979. First Security Insurance Company purchased Sooner Life in 1991 and changed its name to EBPLife Insurance Company. Effective December 21, 1997, EBPLife reinsured its business, with the exception of a couple of policies, with Guarantee Life Insurance Company. EBPLife thereafter existed as a shell company, a wholly owned subsidiary of FFMC, which had acquired Sooner Life's parent, Employee Benefits Plan, Inc.
In September 1998, General American Life Insurance Company signed a purchase agreement to buy EBPLife. In 1999, EBPLife was redomesticated from Oklahoma to Missouri and its name changed to GenAm Benefits Insurance Company. The following year, the company was acquired by Health Care Service Corporation, a Mutual Legal Reserve Company ("HCSC"). HCSC changed the company's name to HCSC Insurance Services Company, and redomesticated it from Missouri to Illinois, its present state of domicile.
Until recently, HISC has had limited on-going operations, with the majority of its operations relating to (1) the old policies issued by previous owners that were not fully reinsured prior to HCSC's acquisition of HISC and (2) provision of stop loss coverage for HCSC's employee benefit plan. The stop loss coverage and these old policies have now terminated.
